Proposed Changes to OrHIMA Bylaws
OrHIMA Members:
The American Health Information Management Association (AHIMA) recently changed their membership categories and, therefore, updated the AHIMA bylaws to be in line with those changes.
OrHIMA is required to maintain bylaws that are reflective of the AHIMA bylaws. Therefore, the OrHIMA Board is proposing bylaw changes which can be reviewed by clicking on the links below.
Per section 15.1 of the current OrHIMA bylaws, OrHIMA members are given at least 30 days prior to voting to review any proposed bylaw changes.
Based on this requirement, this email is considered official notification of the proposed changes and OrHIMA members will have until September 15, 2021 to review the changes. Voting on these changes will occur electronically from September 16, 2021 through October 8, 2021. A separate email will be sent to the members requesting that they vote on the proposed changes.

15.1 Adoption of Amendments
The power to alter, amend, or repeal the Bylaws of OrHIMA, or to adopt new bylaws, is vested in the Active Members of OrHIMA the affirmative vote of a two-thirds (2/3) majority of the votes of the Active Members cast by electronic vote shall be sufficient to effectuate such action. A proposal to the Active Members to amend the Bylaws may be initiated by the Board of Directors and/or any Active Member of OrHIMA at any time that is at least thirty (30) days prior to the electronic vote on the proposal is to be taken. In the absence of such prior notice, the Active Members may still consider a proposal to amend the Bylaws upon the affirmative vote to do so if a two-thirds (2/3) majority of the votes of the Active Members cast at a meeting at which a quorum is present, and if the consideration is approved, may adopt the proposal upon the affirmative vote of at least ninety percent (90%) of the votes of the Active Members cast at such meeting. Notwithstanding the foregoing, any proposed revisions or amendment of the Bylaws of OrHIMA shall be submitted for review and approval to the AHIMA Board of Directors prior to adoption, and they shall comply with the provisions governing Component Associations as provided for in the AHIMA Bylaws and in the AHIMA Policy and Procedure Manual.
